Terms of Service

These Terms of Service ("Terms") govern your use of the UniVerify website and validation tool, operated by Univerify LLC, 30 N Gould St #68018, Sheridan, WY 82801, US. By using UniVerify, you agree to these Terms.

Description of service

UniVerify validates Medicare Advantage and Part D universe files against CMS record-layout and format rules. Validation runs entirely in your browser; file contents are never uploaded to our servers. UniVerify is a validation aid, not a submission channel, and does not submit anything to CMS on your behalf.

No guarantee of CMS acceptance

UniVerify checks your file against the rules we have implemented, and we keep those rules current as CMS publishes new or revised layouts. However, UniVerify does not guarantee that a file which passes validation will be accepted by CMS, and does not guarantee that it has identified every possible issue with your file. You remain responsible for your own CMS submissions.

Accounts and access

Some features may require a staff or customer account. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly if you suspect unauthorized use.

Acceptable use

You agree not to misuse UniVerify, including by attempting to disrupt the service, reverse-engineer the validation rules for resale, or use the service in violation of applicable law.

Fees

Pricing and billing terms, where applicable, will be set out separately in an order form or agreement with your organization. [Standard fee terms, to be provided]

Intellectual property

UniVerify and its underlying software, rule sets, and content are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property beyond the right to use the service as intended.

Disclaimer of warranties

UniVerify is provided "as is" without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability

To the fullest extent permitted by law, UniVerify will not be liable for any indirect, incidental, or consequential damages arising from your use of the service, including damages related to a CMS submission outcome.

Termination

We may suspend or terminate access to UniVerify for violation of these Terms. You may stop using the service at any time.

Governing law

These Terms are governed by the laws of [Governing law, to be provided], without regard to conflict-of-law principles.

Changes to these terms

We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date above.
